Item 7.01 Regulation FD Disclosure

XPO Logistics, Inc. (“XPO”) issued a press release on August 14, 2014, announcing the pricing of its private placement of senior notes due 2019 (the “Notes”) that was launched on August 11, 2014. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

The closing of the private placement offering is expected to occur on August 25, 2014, subject to customary closing conditions. The Notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and, outside the United States, only to non-U.S. investors pursuant to Regulation S. The Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or a transaction not subject to the registration requirements of the Securities Act or any state securities laws. This report shall not constitute an offer to sell or the solicitation of an offer to buy any security, nor shall there be any sale of the Notes in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state. Any offers of the Notes will be made only by means of a private offering memorandum.

XPO Logistics Announces Pricing of Private Placement Notes Offering

GREENWICH, Conn. – August 14, 2014 – XPO Logistics, Inc. (“XPO” or the “Company”) (NYSE: XPO) announced today the pricing of the Company’s previously announced private placement offering launched August 11, 2014, for $500 million of senior notes due 2019 (the “Notes”). The closing of the private placement offering is expected to occur on August 25, 2014, subject to customary closing conditions.

The Notes will bear interest at a rate of 7.875% payable semiannually, in cash in arrears, on March 1 and September 1 of each year, commencing March 1, 2015 and maturing on September 1, 2019. XPO intends to use the proceeds of this offering, together with cash on hand, to finance the purchase price of the previously announced acquisition of New Breed Holding Company (“New Breed”) and pay related transaction fees and expenses. The proceeds from the Notes will be held in escrow if the closing of this offering occurs prior to the closing of the New Breed acquisition.

The Notes will be guaranteed by each of the Company’s direct and indirect wholly-owned restricted subsidiaries (other than certain excluded subsidiaries) that are obligors under, or guarantee obligations under, the Company’s existing credit agreement (or certain replacements thereof) or guarantee certain capital markets indebtedness of the Company or any guarantor of the Notes. The Notes and the guarantees thereof will be unsecured, unsubordinated indebtedness of the Company and the guarantors.

The Notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended, and outside the United States, only to non-U.S. investors pursuant to Regulation S.
